Item 2.02 Results of Operations and Financial Condition.
On May 3, 2023, Louisiana-Pacific Corporation ("the Company") issued a press release announcing financial results for the three months ended March 31, 2023, a copy of which is attached hereto as Exhibit 99.1 and incorporated herein by reference.

Item 5.07 Submission of Matters to a Vote of Security Holders.
The annual meeting of the stockholders of Louisiana-Pacific Corporation (the "Company") was held on April 28, 2023 (the "Annual Meeting"), at which a total of 65,963,632 shares of the Company's common stock, out of a total of 72,019,778 shares of the Company's common stock outstanding and entitled to vote as of the close of business on March 1, 2023 (the record date for the Annual Meeting), were represented in person or by proxy. The final voting results for the proposals submitted for a vote of stockholders at the Annual Meeting are set forth below. The proposals below are described in more detail in the 2023 Proxy Statement filed with the Securities and Exchange Commission on March 14, 2023.
The following proposals were considered by the Company's stockholders at the Annual Meeting:
a) Election of the two individuals listed below to serve as Class II directors of the Company until the 2026 annual meeting of stockholders and until their successors are duly elected and qualified. The results of the election of the director nominees were as follows:
