Explanation of Responses:

1. In the original Form 4 filed on January 5, 2016, the nature of the transaction was correctly described in the footnotes, but the Transaction Code was incorrectly reported as S. This Form 4/A amends the previously filed Form 4 to correct the Transaction Code.

2. These shares were tax-withheld by the issuer to satisfy the reporting person's tax obligation resulting from the vesting of a previously reported grant of shares pursuant to Rule 16b-3(d).

3. Per share value assigned by the issuer to the tax withholding shares under the tax withholding arrangement, and based on the market closing price of the shares as of December 31, 2015.

4. The previously reported amount of securities beneficially owned has been adjusted to reflect the one share-for-eight shares reverse split of the issuer's common stock on July 10, 2015.
