Explanation of Responses:

1. These shares of Common Stock were granted under the Company's 2017 Equity and Incentive Award Plan as 2025 director compensation. These shares shall vest, and the forfeiture restrictions shall lapse, with respect to 619 of the shares of Common Stock upon the last business day of each calendar quarter occurring after the date of grant provided that Ms. Aeppel is a director of the Company on the applicable vesting date. The first vesting date for this issuance will be March 31, 2025.
