Item 8.01 Other Events.
On July 30, 2010, The McGraw-Hill Companies, Inc. (the “Company”) entered into a $1,200,000,000 Three-Year Credit Agreement, dated as of July 30, 2010 (the “Credit Agreement”), among the Company, Standard & Poor’s Financial Services LLC (“S&P”), a wholly-owned subsidiary of the Company, as guarantor, the lenders listed therein, JPMorgan Chase Bank N.A., as administrative agent and Bank of America, N.A., as syndication agent. The Credit Agreement replaces the Company’s following existing credit facilities: (i) $766,666,666.66 Three-Year Credit Agreement dated as of September 12, 2008, as amended and supplemented, and (ii) $433,333,333.34 364-Day Credit Agreement, dated as of August 14, 2009.
The Credit Agreement contains customary affirmative and negative covenants, and includes customary events of default. The occurrence of an event of default could result in an acceleration of the obligations under the Credit Agreement.
A copy of the Credit Agreement is attached hereto as Exhibit 10.1.
