Explanation of Responses:

1. Represents shares of common stock withheld from by the Issuer to satisfy Mr. Toporek's tax obligations upon the vesting of 7,500 restricted stock units previously granted to Mr. Toporek. On March 29, 2022, Mr. Toporek filed a Form 4 which inadvertently reported the incorrect number of shares of common stock withheld to satisfy his tax obligations. The original Form 4 also mistakenly did not indicate Mr. Toporek as a director of the Issuer in addition to being an officer and 10% holder.

2. Represents shares of common stock held by Brookstone Partners Acquisition XXIV, LLC ("Brookstone XXIV"). As the Manager of Brookstone XXIV, Brookstone Partners I.A.C. may be deemed to beneficially own the shares of common stock owned directly by Brookstone XXIV. Mr. Toporek is a Managing General Partner of Brookstone Partners I.A.C. and shares voting and dispositive power over the shares of common stock owned by Brookstone XXIV and therefore may be deemed to beneficially own these shares. Mr. Toporek disclaims such beneficial ownership except to the extent of his pecuniary interest therein.
