(c) Mr. Stephen M. Lacy, Chief Executive Officer, was appointed Acting Vice President-Finance, Principal Accounting Officer and Principal Financial Officer as of April 22, 2008. He will so serve until a new Chief Financial Officer is appointed. The information responsive to items (2) and (3) (for Item 5.02 of 8-K) is included in Registrant's Proxy Statement dated November 7, 2007, and in the Registrants other current and periodic reports filed under the Securities and Exchange Act of 1934.
