Explanation of Responses:

1. Pursuant to the Agreement and Plan of Merger, dated November 1, 2024 (the "Merger Agreement"), by and among Micropac Industries, Inc., a Delaware corporation (the "Issuer"), Teledyne Technologies Incorporated, a Delaware corporation and Harrier Merger Sub, Inc., a Delaware corporation, each share of common stock, par value $0.10 per share of the Issuer (the "Common Stock"), was canceled and converted into the right to receive $20.00 per share in cash without interest, subject to required withholding of taxes (the "Merger Consideration").

2. Includes 7,143 restricted stock units ("RSUs"). Pursuant to the Merger Agreement, each RSU that was outstanding as of immediately prior to the effective time of the merger, automatically became fully vested and was cancelled by virtue of the merger without any action on the part of any holder or beneficiary thereof and entitled the holder to receive an amount in cash, without interest, subject to required withholding of taxes, equal to the product of (i) the number of shares of Common Stock then underlying such RSU award as of immediately prior to the effective time of the merger, and (ii) the Merger Consideration.

3. Includes 6,897 restricted stock units subject to performance-based vesting conditions ("PSUs"). Pursuant to the Merger Agreement, each PSU that was outstanding as of immediately prior to the effective time of the merger, automatically became fully vested and was cancelled by virtue of the merger without any action on the part of any holder or beneficiary thereof and entitled the holder to receive an amount in cash, without interest, subject to required withholding of taxes, equal to the product of (i) the number of shares of Common Stock then underlying such PSU award as of immediately prior to the effective time of the merger, and (ii) the Merger Consideration.
