This current report on Form 8-K/A amends the Form 8-K filed by Millipore Corporation with the Securities and Exchange Commission on May 13, 2008 for the sole purpose of filing the amendments to Millipore Corporation’s 2008 Stock Incentive Plan, 2000 Deferred Compensation Plan for Senior Management, and Supplemental Savings and Retirement Plan for Key Salaried Employees of Millipore Corporation described in such filing under Item 1.01 of Form 8-K, together with the copies of such plans attached thereto or incorporated therein, under this Item 5.02(e).
