| Item 5.03. | Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. |
On October 19, 2015, the Board of Directors of Mississippi Power Company (the “Company”) approved an amendment to Section 2.02 of the Company’s Bylaws effective as of October 19, 2015. The amendment to Section 2.02 adds a new requirement that any director who is not an employee-director tender a resignation from the Board of Directors when a change occurs in the director’s principal business association. In such case, the Board of Directors of the Company has the discretion of accepting the resignation or requesting that the director continue to serve on the Board of Directors.
