On October 25, 2016, the Board of Directors of Mississippi Power Company (the “Company”) approved certain amendments to the Company’s Bylaws (as so amended, the “Bylaws”) effective as of October 25, 2016. Sections 5.01, 5.03 and 5.04 of the Bylaws were amended to allow for uncertificated shares.
The foregoing description is qualified in its entirety by reference to the Bylaws, as of October 25, 2016, a copy of which is attached and incorporated herein as Exhibit 3.1 to this Form 8-K.
