See MANAGEMENT’S DISCUSSION AND ANALYSIS – FINANCIAL CONDITION AND LIQUIDITY – “Sources of Capital” of Mississippi Power Company (“Mississippi Power”) in Item 7 of Mississippi Power’s Annual Report on Form 10-K for the year ended December 31, 2005 for information regarding a $100,000,000 promissory note (the “Note”) issued to Barclays Bank PLC (the “Bank”) on February 24, 2006. On August 21, 2006, Mississippi Power executed an amendment and restatement of the Note. The amendment and restatement extended the maturity date of the Note to December 29, 2006. The amendment and restatement contained no other changes to the Note.
