Item 2.02    Results of Operations and Financial Condition.

On April 19, 2007, Molex Incorporated issued a press release announcing its results of operations for the third fiscal quarter ended March 31, 2007, and held a web cast and a conference call to discuss earnings and current market conditions.  A copy of the press release is being furnished as Exhibit 99.1, and a copy of the slides presented at the web cast and discussed in the conference call is being furnished as Exhibit 99.2 hereto and incorporated herein by reference.
