Item 7.01. Regulation FD Disclosure.
On August 4, 2022, MDU Resources Group, Inc. (the “Company”) issued a press release announcing a plan to separate its wholly owned construction materials business, Knife River Corporation (“Knife River”), from the Company, resulting in two independent, publicly traded companies. The proposed spinoff is intended to be a tax-free transaction for U.S. federal income tax purposes and is expected to be completed in 2023, subject to the satisfaction of customary conditions, including final approval from the Company’s board of directors and the effectiveness of a registration statement on Form 10 to be filed with the U.S. Securities and Exchange Commission (“SEC”).
A copy of the Company’s press release is attached to this Current Report on Form 8-K as Exhibit 99.1 and incorporated by reference herein.
