Item 8.01 Other Events
On September 18, 2006, Motorola, Inc. (the “Company”) entered into a definitive merger agreement (the “Merger Agreement”) to acquire Symbol Technologies, Inc. (“Symbol”) in a merger transaction (the “Merger”) by which Symbol will become a wholly-owned subsidiary of the Company. On September 19, 2006, the Company and Symbol jointly issued a press release announcing the Merger Agreement and the proposed Merger. A copy of this press release is attached hereto as Exhibit 99.1, the text of which is hereby incorporated by reference in this Item 8.01 in its entirety.
