On August 14, 2020, Motorola Solutions, Inc. (the “Company”) closed the public underwritten offering (the “Offering”) of $900,000,000 in aggregate principal amount of 2.300% senior notes due 2030 (the “Notes”) pursuant to the Underwriting Agreement, dated August 10, 2020, by and among the Company and the several underwriters named therein. The Notes were issued pursuant to an Indenture dated as of August 19, 2014 between the Company and The Bank of New York Mellon Trust Company, N.A., as trustee (the “Indenture”), as supplemented by an Officers’ Certificate, dated August 14, 2020 (the “Officers’ Certificate”). The Notes were offered and sold pursuant to a registration statement on Form S-3 (File No. 333-223828) under the Securities Act of 1933, as amended.
The net proceeds from the Offering will be used (i) to redeem the $551,767,000 outstanding principal amount of the Company’s 3.750% Senior Notes due 2022, (ii) to purchase for cash up to $315 million in aggregate purchase price of the Company’s outstanding securities (the “Tender Offer”), including its 7.500% debentures due 2025, 6.500% debentures due 2025, 3.500% senior notes due 2023, and 4.000% senior notes due 2024, (iii) to pay transaction-related fees and expenses of the Tender Offer and (iv) for general corporate purposes.
