Item 5.03. Amendments to Articles of Incorporation and Bylaws; Change in Fiscal Year.
On April 21, 2009, the shareholders of National Penn, at the annual meeting of shareholders, approved an amendment to National Penn’s articles of incorporation to increase the authorized common shares from 100,000,000 to 250,000,000.
The text of the amendment to the articles of incorporation is contained in the Amended and Restated Articles of Incorporation filed with the Pennsylvania Department of State on April 23, 2009. This amendment is effective immediately upon filing. A copy of the Amended and Restated Articles of Incorporation, as filed, is filed in this Report as Exhibit 3.1 and incorporated herein by reference.
