Item 8.01 - Other Events
As previously reported, on September 6, 2005, National Penn Bancshares, Inc. (“National Penn”) and Nittany Financial Corp. (“Nittany”) entered into an Agreement providing, among other things, for the merger of Nittany, parent company of Nittany Bank, with and into National Penn, with National Penn surviving the merger. On January 26, 2006, National Penn completed its acquisition of Nittany.
The press release concerning the closing of National Penn’s acquisition of Nittany is filed herewith as Exhibit 99.1 and incorporated herein by reference.
