On November 7, 2007, National Penn Bancshares, Inc. issued a press release announcing receipt of regulatory approvals from the Delaware Banking Commissioner, the Board of Governors of Federal Reserve System, and the Federal Deposit Insurance Corporation for its pending acquisition of Christiana Bank & Trust Company, as well as the finalized exchange ratio for the transaction. The exchange ratio for National Penn common stock has been finalized at 2.241 shares of National Penn common stock for each share of Christiana common stock. This press release is filed in this Report as Exhibit 99.1 and incorporated herein by reference.
