On April 28, 2004, Susquehanna Bancshares, Inc. priced a private placement of $75 million aggregate principal amount of 4.75% Fixed Rate/Floating Rate Subordinated Notes due May 1, 2014. The offering will be made through initial purchasers to qualified institutional buyers under Rule 144A of the Securities Act of 1933, as amended (the “Securities Act”). A copy of the press release, dated April 29, 2004, publicly announcing the pricing of this offering is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
