Explanation of Responses:

1. These Restricted Stock Units (RSUs) accrued as dividend equivalents on previously awarded RSUs and vest on July 1, 2021, 2022, 2023, 2024 and 2025 proportionately with the RSUs to which they relate. Each RSU is the economic equivalent of one share of Atrion Corporation common stock. On the vesting dates, these RSUs, together with RSUs with respect to which they relate, will each entitle the reporting person to receive a cash payment equal to the market price of one share of Atrion Corporation common stock on the vesting date.
