Item 8.01. Other Events
On October 6, 2010, Mentor Graphics Corporation (the “Company”) announced the pricing of a private placement of $20 million in aggregate principal amount of the Company’s 6.25% Convertible Subordinated Debentures due 2026 (the “Debentures”) to be issued to qualified institutional buyers pursuant to Section 4(2) of the Securities Act of 1933, as amended. A copy of the press release announcing the pricing of the private placement is filed as Exhibit 99.1 to this Report and is incorporated herein by reference.
