Effective as of April 20, 2009, the Audit Committee of the Board of Directors of BancorpSouth, Inc. (the “Company”) engaged KPMG LLP as the Company’s independent registered public accounting firm for the year ending December 31, 2009. KPMG LLP has served as the Company’s independent registered public accounting firm since 1973.
