Change in Fiscal Year Bylaw Amendments
On February 27, 2006, the Board of Directors amended the Bylaws of Norfolk Southern Corporation to decrease the number of directors from twelve to ten on the date of the 2006 Annual Meeting. The amended Bylaws are attached hereto as Exhibit 3(ii).
