TRANSACTION STATEMENT UNDER SECTION 13(e) OF THE
SECURITIES EXCHANGE ACT OF 1934 AND RULE 13e-3 THEREUNDER
This Amendment No. 3 to the Rule 13e-3 Transaction Statement on Schedule 13E-3 (the “Amended Schedule”) for Southern BancShares (N.C.), Inc. (“Southern”) is being filed by the filing persons listed on the cover of this Amended Schedule to report the results of the Rule 13e-3 transaction subject to this Amended Schedule. The Definitive Proxy Statement filed by the Company on December 19, 2005 (the “Proxy Statement”) pursuant to Regulation 14A of the Securities Exchange Act of 1934, as amended, and is incorporated by reference herein. The Proxy Statement relates to the special meeting of shareholders at which Southern’s shareholders considered and voted upon the Agreement and Plan of Merger.
The reorganization of Southern pursuant to the Agreement and Plan of Merger by and between Southern and Southern Interim Corporation (“Interim”) dated October 13, 2005 and attached as Appendix A to the Proxy Statement became effective on January 25, 2006, upon filing the Certificate of Merger of Interim with and into Southern. As a result of the reorganization 1,832 shares of common stock, held by approximately 132 shareholders of record, were exchanged for $780.00 per share in cash, and 39,305 shares of Series B preferred stock, held by approximately 339 shareholders of record, were exchanged for $14.85 per share in cash. There was an aggregate of $1,428,960.00 paid for common stock and $583,679.25 paid for Series B preferred stock. As of January 26, 2006, the number of outstanding common shareholders was approximately 201, who held an aggregate of 107,088 common shares, while there were approximately 180 Series B preferred shareholders of record, who held an aggregate of 311,288 shares.
