Item 4: Changes in Registrant's Certifying Accountant.
On June 14, 2002, the Company reported on Form 8-K that its Board of Directors voted to approve the engagement of Deloitte & Touche LLP as its independent auditor for the year ending December 31, 2002 subject to customary client acceptance procedures, and to dismiss the firm of Arthur Andersen LLP.
On July 10, 2002, Deloitte & Touche LLP advised the Company that it was not accepting the engagement.
The Company has begun to search for another independent accounting firm to act as its auditor and will file a report on Form 8-K when the selection has been made and the engagement confirmed.
