Under the Plan, previously announced in September 2019, the Company has purchased approximately 387,000 shares at an average price of $31.52 through March 12, 2020, resulting in approximately 1.6 million authorized shares remaining.

The Company has no obligation to repurchase any shares under the Plan and may modify, suspend or discontinue the Plan at any time.
Additionally, on March 12, 2020, the Company entered into a Rule 10b5-1 Trading Plan (the “Trading Plan”), to facilitate the repurchase of shares of its common stock under the Plan. A trading plan under Rule 10b5-1 allows a company to repurchase its shares at times when it otherwise might be prevented from doing so by securities law or because of self-imposed trading blackout periods. Any repurchases made pursuant to the Trading Plan will be made in accordance with certain trading parameters set forth in the Trading Plan as well as the price, volume and timing limitations set forth under Rule 10b-18.
Pursuant to General Instruction F to Form 8-K, a copy of the press release is attached hereto as Exhibit 99.1 and is incorporated into this Item 8.01 by this reference.
