ITEM 12. RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

     On April 20, 2004, America West Holdings Corporation (the “Company”), parent company of America West Airlines, Inc. (“AWA”), announced via press release the Company’s and AWA’s results for the three months ended March 31, 2004 and conducted a publicly-available conference call discussing those results. A copy of the Company’s press release is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.
