Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On November 19, 2007, the Board of Directors of Britton & Koontz Capital Corporation (the “Company”) adopted an amendment to the Company’s Bylaws. In order to be in compliance with the listing standards of The NASDAQ Stock Market LLC, the amendment, which is immediately effectively, clarifies that the Company may issue uncertified shares of its common stock. A copy of the amendment to the Bylaws of the Company adopted by the Board of Directors is attached hereto as Exhibit 3.1 and is filed with this Current Report on Form 8-K.
