Mr. Adams may be deemed the beneficial owner of such reported shares, pursuant to his position as managing member of Strategic Value Bank Partners LLC, the general partner of Strategic Value Bank Partners L.P. Mr. Adams disclaims beneficial ownership of the reported shares except to the extent of his pecuniary interest therein, and this report shall not be deemed to be an admission that Mr. Adams is the beneficial owner of any reported shares exceeding such pencuniary interest for purposes of Section 16 or for any other purpose.
