Explanation of Responses:

1. Table I reports the vesting of the first one-third of previously reported 3-year ratable vesting performance-based restricted stock units (RSUs) granted on February 23, 2021. Vesting of the remaining two-thirds of such RSUs, shown in Table II, is subject to the reporting person's continued employment with the issuer on the applicable vesting date in accordance with the RSU award agreement.

2. These shares were withheld to cover tax withholding obligations when 14,121 restricted stock units vested on February 23, 2022 as reported herein.
