Item 5.07 Submission of Matters to a Vote of Security Holders.
On August 17, 2022, NextGen Healthcare, Inc. (the “Company”) held its 2022 Annual Meeting of Stockholders (the “Annual Meeting”) at 18101 Von Karman Ave, Suite 200, Irvine, CA 92612. As of July 6, 2022, the record date for the Annual Meeting, 68,018,785 shares of common stock were outstanding and entitled to vote at the Annual Meeting. At the Annual Meeting, 60,528,672 shares of common stock were present in person or represented by proxy. The Company’s stockholders were asked to consider and vote on the following four proposals:
| 1) | To elect the nine directors named in the Company’s proxy statement to serve as directors of the Company, each to serve until the Company’s 2023 Annual Meeting of Stockholders and until their successors are duly elected, subject to earlier resignation or removal; |
| 2) | To ratify the appointment of PricewaterhouseCoopers LLP as the Company’s independent registered public accounting firm for the fiscal year ending March 31, 2023. |
| 3) | To approve, on an advisory basis, the Company’s named executive officer compensation (known as the “Say on Pay” vote); and |
| 4) | To conduct an advisory vote on the frequency of the advisory vote on executive compensation (known as the “Say on Frequency” vote) |
The results of the shareholder votes are set forth below.
Proposal 1 – Election of Directors
The Company’s stockholders elected the following nominees to serve as directors of the Company, each to serve for a one-year term expiring at the Company’s 2023 Annual Meeting of Stockholders and until their successors are duly elected, subject to earlier resignation or removal: Craig A. Barbarosh, George H. Bristol, Darnell Dent, Julie D. Klapstein, Geraldine McGinty, Jeffrey H. Margolis, Morris Panner, Pamela Puryear and David Sides.
