Remarks:

Airmont Trust, of which Brad Houtkin and Sherry Houtkin are co-trustees and beneficiaries, sold 3,395,000 shares of the issuer's common stock in a private transaction. This Form 4 is being filed jointly by the Airmont Trust (which was a 10% owner), and Brad and Sherry Houtkin, individually, because each of them is a director of the issuer and beneficially owns 50% of the issuer's securities held by the Trust. Each of Brad and Sherry Houtkin disclaims beneficial ownership of 50% of the securities held by the Trust.
