Explanatory Note
On March 5, 2009, PhotoMedex, Inc. (the “Company”) filed a Current Report on Form 8-K (the “Initial 8-K”) to report the completion of the Company’s acquisition of all of the operating businesses of Photo Therapeutics Group Limited, a private limited company incorporated under the laws of England and Wales (the “PT Acquisition”). On March 14, 2009, the Company filed an amendment to the Initial 8-K on Form 8-K/A (the “First Amendment”) to include the financial information relating to the PT Acquisition required by Item 9.01, which was not included in the Initial 8-K. The Company is filing this amendment to amend the Initial 8-K to include the consent of Baker Tilly UK Audit LLP, which was not included in the First Amendment.
