This Form 8-K relates solely to the Voluntary Pension and Salary Deferral Plan for Employees of Flow International Corporation (the “Plan”).

(i) | | On June 6, 2003, the Audit Committee of Flow International Corporation approved the appointment of BDO Seidman LLP to serve as the Plans’ independent public accountants for the fiscal year ended December 31, 2002, and dismissed PricewaterhouseCoopers LLP as the Plans’ independent public accountants. |

(ii) | | The reports of PricewaterhouseCoopers LLP on the statements of net assets available for benefits of the Flow Plan for the years ended December 31, 2000 and 2001, and the related statements of changes in net assets available for benefits for the years ended December 31, 2000 and December 31, 2001 contained no adverse opinion or disclaimer of opinion and were not qualified or modified as to uncertainty, audit scope or accounting principle. |

(iii) | | In connection with its audits of the Plan for the two most recent fiscal years and through June 6, 2003, there have been no disagreements with PricewaterhouseCoopers LLP on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreements if not resolved to the satisfaction of PricewaterhouseCoopers LLP would have caused them to make reference thereto in their report on the financial statements for such years. |
