ITEM 3.03 Material Modification to Rights of Security Holders
(a) On March 14, 2009, the Board of Directors of the corporation adopted Amended and Restated Bylaws, which amend and restate the corporation’s Bylaws in their entirety. The purpose and intent of the adoption of the Amended and Restated Bylaws are: (1) to replace outdated bylaws that have been in place as a result of the company’s reverse merger with a United States-based company several years ago; and (2) to have on file with the SEC a comprehensive set of bylaws, in a single document, to facilitate easy inspection and review.
