On June 30, 2019, Mr. Xiaoping Zhang, the Chairman and Chief Executive Officer (“Chairman Zhang”) of SORL Auto Parts, Inc. (the “Company”), Ms. Shuping Chi and Mr. Xiaofeng Zhang, directors of the Company, who collectively beneficially own in the aggregate approximately 58.9% of the issued and outstanding shares of common stock of the Company on a fully diluted basis, acted by written consent in lieu of a meeting of the stockholders of the Company and elected the following individuals as directors of the Company to hold office until the next annual meeting of stockholders and until his or her successor is duly elected and qualified or until his or her earlier resignation or removal:
