1. The reported transaction was effected pursuant to a prior election made by the Reporting Person to use a portion of his director compensation to purchase additional shares of common stock through participation in the Company's Dividend Reinvestment and Stock Purchase Plan.

This amendment is being filed to add the footnote above, which was inadvertently omitted from the initial filing. All other information reported in the initial Form 4 remains the same.
