I refer to your letter dated December 30, 2010, addressed to the Company, and the Company’s response dated January 10, 2011.

Pursuant to a recent telephone conversation with your colleague, David Lyon, concerning the first numbered comment in your aforementioned letter, please see below the form of disclosure that the Company proposes to disclose in future filings:

Management believes that unemployment data is the most significant indicator of the economic health of its market areas and monitors this data on a regular basis. As reflected in the table below, the unemployment rates in each of the Company’s market areas has increased substantially since the end of 2007. The table also shows non-performing loans as a percentage of total loans in each market as of December 31, 2010.
