| ITEM 2.01. | COMPLETION OF ACQUISITION OR DISPOSITION OF ASSETS. |
On October 2, 2013, NewBridge Bancorp, the parent company of NewBridge Bank, issued a press releaseannouncing that NewBridge Bank successfully completed its supervisory acquisition of Security Savings Bank, SSB of Southport, North Carolina, a mutual savings bank with six branches serving Brunswick County in North Carolina, on October 1, 2013. The merger was effected pursuant to an order of the North Carolina Commissioner of Banks.
A copy of the press release announcing the completion of the merger is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
