State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
City National Bancshares Corporation (the "Registrant") has determined that it is unable to file its Quarterly Report on Form10-Q for the quarter ended March 31, 2010 (the "Form 10-Q") with the U.S. Securities and Exchange Commission (the "SEC") by the May 17, 2010 due date. We are not able to file a timely Form 10-Q because we have not completed our consolidated financial statements and related disclosures for the quarter ended March 31, 2010.
As previously reported, the Registrant has been unable to file its Annual Report on Form 10-K for the year ended December 31, 2009 (the "Form 10-K") with the SEC due to the circumstances set forth in the Form 12b-25 filed by the Registrant with the SEC on March 30, 2010, the contents of which are incorporated herein by reference. The Form 10-K remains incomplete. While the Registrant is working diligently to file its Form 10-K and anticipates filing its Form 10-K in May 2010, the delay in the preparation and anticipated filing of the Registrant's Form 10-K resulted in the Registrant requiring additional time to complete its consolidated financial statements and related disclosures for the quarter ended March 31, 2010 and for its independent auditors to complete their required review of such financial statements and related disclosures. The Registrant currently anticipates filing its Form 10-Q for the quarter ended March 31, 2010 with the SEC in May 2010.
