Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(b) Barbara Bell Coleman resigned as a director of the Registrant on June 30, 2011. Ms. Coleman had indicated her desire to resign in the past. As a result even though she indicated in writing on April 25 she was resigning effective June 30, 2011 this was generally not considered firm and was not final until she did in fact actually resign at the June 30, 2011 Board meeting after indicating she felt comfortable with the progress the company was making.
