Explanation of Responses:

1. The original Form 4 filed on 01/03/2020 inadvertently omitted the reporting person's 401(k) holdings. This amendment correctly reports the holdings of the reporting person's Renasant 401(k) account, which includes two rollovers and one of which was previously reported as Brand Group Holdings 401(k)/ESOP, as of 12/31/2019. No other changes have been made to the original Form 4.
