(d) Election of Director
Effective December 7, 2023, Catherine Marcus was elected as a Director of Interface, Inc.
Ms. Marcus serves as the Co-CEO and Chief Operating Officer of PGIM Real Estate, one of the world’s largest global real estate investment managers and a major profit center of PGIM, the global asset management business of Prudential Financial, Inc. (NYSE: PRU). She is also a member of the board of directors for Skanska AB (Nasdaq Stockholm: SKA B), the multinational construction company.
Ms. Marcus was elected by the Board of Directors to fill a vacancy created by an increase in the number of Directors from 9 to 10, and she will serve until the next election of Directors by the shareholders and until the election and qualification of her successor. She was nominated for the position by the Nominating & Governance Committee of the Board of Directors after a selection process. The Board of Directors plans to consider Ms. Marcus for appointment to one or more Board committees over the course of the next several regularly scheduled Board meetings.
