(b) On May 1, 2009, Messrs. Daniel J. Meyer and Robert W. Mahoney retired from the Board of Directors of Cincinnati Bell Inc. (the “Company”) as required by the Company’s retirement policy applicable to Board members that provides that directors cannot serve on the Board past the annual meeting of shareholders following their attaining the age of 72.
