Item 1.01 Entry into a Material Definitive Agreement.
On June 14, 2024, Cincinnati Bell Inc. (the “Company”) entered into that certain Amendment No. 4 to Credit Agreement (“Amendment No. 4”), by and among the Company, Red Fiber Parent LLC (“Holdings”), the Guarantors party thereto and CoBank, ACB, as the Term B-3 Lender, and acknowledged by Goldman Sachs Bank USA, as administrative agent (the “Administrative Agent”), in order to amend certain terms of its existing Credit Agreement (the “Credit Agreement”), dated as of September 7, 2021, as amended as of November 23, 2021, as amended as of May 3, 2023 and as amended as of May 30, 2024, by and among the Company, Holdings, the Administrative Agent and the Lenders and L/C Issuers party thereto. Amendment No. 4 provides for a reduction in the interest rate margin applicable to the Term B-3 Loans under the Credit Agreement. The other material terms, conditions and covenants of the Credit Agreement were unchanged by Amendment No. 4.
