ITEM 5. OTHER EVENTS
On June 17, 2002, Milacron Inc. entered into an amendment to its Amended and Restated Revolving Credit Agreement. This agreement includes revised financial covenants required to be maintained for periods prior to the closing of the Widia and Valenite divestitures. Upon the closing of these divestitures, we expect that further amendments to the covenants for future periods will be made accordingly.
