EXPLANATORY NOTE.
This amendment to Milacron Inc.'s Form 8-K, dated April 27, 2004, and dealing with the launch of a cash tender offer for certain bonds, is being furnished for the purpose of correcting Exhibit 99.1. The original Form 8-K inadvertently included an incorrect news release as Exhibit 99.1. The correct news release is attached as Exhibit 99.1 to this Form 8-K/A.
