(e) At the annual meeting of stockholders of The New York Times Company (the “Company”) held on April 22, 2020, the stockholders approved the adoption of The New York Times Company 2020 Incentive Compensation Plan (the “Plan”) pursuant to which cash and equity compensation awards may be provided to employees and non-employee directors of the Company and its subsidiaries. The Plan authorizes the issuance of up to 15,000,000 shares of Class A common stock of the Company. A description of the material terms of the Plan was included in the Company’s Definitive Proxy Statement on Schedule 14A, as filed with the Securities and Exchange Commission on March 13, 2020.
