3.01 NOTICE OF DELISTING
Although International Electronics, Inc. (“IEI” or “Company”) has not received any notice from Nasdaq with respect to being delisted from Nasdaq, IEI discovered on July 14, 2005 that it was not able to trade on Nasdaq and discovered that it was being traded in the pink sheets. As a result, IEI believes that it has been delisted from Nasdaq and that it will no longer be traded on Nasdaq because IEI was not in compliance with Nasdaq marketplace rule 4310(c)(2)(B) which requires IEI to have a minimum of $2,500,000 in stockholders equity or $35,000,000 market value of listed securities or $500,000 of net income from continuing operations for the most recently completed fiscal year or two of the three most recently completed fiscal years.
