Explanation of Responses:

1. This grant was for 9,827 restricted stock units of the Company, each representing the right to receive one share of the Company's common stock, which will vest in four equal installments on each of September 8, 2015, December 8, 2015, March 8, 2016 and June 8, 2016.

2. Following the transactions reported on this Form 4, Mr. Meyer held (a) 7,061 shares of the Company's common stock through The Barry Meyer Separate Property Trust, a trust for the benefit of Mr. Meyer's wife and children of which Mr. Meyer is the trustee, (b) 7,062 shares of the Company's common stock through The Barry and Wendy Meyer Trust, of which Mr. Meyer and his wife are co-trustees and share voting and investment power with respect thereto, (c) 1,457 restricted stock units, each representing the right to receive one share of the Company's common stock, through The Barry Meyer Separate Property Trust, (d) 1,456 restricted stock units through The Barry and Wendy Meyer Trust, and (e) 9,827 restricted stock units, in his name.
